Terms of Service
Chapter 1. General Provisions and Definition of Paid Services
Article 1 (Purpose)
These Terms of Service (“Terms”) are intended to set forth the basic matters concerning the rights, obligations, and responsibilities between SDT Co., Ltd. (the “Company”) and users of the QuREKA service (the “Service”), as well as the conditions and procedures for using the Service.
Article 2 (Definitions)
For the purposes of these Terms, the following definitions shall apply:
Company: Refers to SDT Co., Ltd., which develops and operates the QuREKA Service.
User: Refers collectively to all customers who enter into a service use agreement with the Company and use the Service in accordance with these Terms.
Member: Refers to a User who has completed the membership registration procedure prescribed by the Company, agreed to these Terms, and entered into a service use agreement with the Company.
Non-member: Refers to a person who uses the Service without completing membership registration; however, the Service does not permit use by non-members.
Service: Refers to all server resources, credits, notebook types, and additional features required for Members to execute quantum resources and development environments through the QuREKA web service, including but not limited to:
a. Subscription services providing credits and notebook types required to execute quantum resources and development environments
b. Content and post viewing functions
c. Additional features provided by plan, such as AI assistants, Composer IDE, and advanced administrative settings under plans including “Free,” “Standard,” and “Pro”
Paid Services:
a. Subscription Products: Subscription-based products through which Members receive server resources, credits, and additional features for a fee, including the “Standard” and “Pro” plans
b. Credit Products: Recharge-type products purchased separately and provided immediately upon purchase
Content: Refers to all information, materials, images, videos, and other copyrighted works provided within the Service, including quantum algorithm examples, resource visualization items, and result files
Posts: Refers to all forms of content created by Members within the Service, including text, photos, files, comments, and attachments posted in communities or other areas
Credits: Refers to cyber currency or usage vouchers used as consideration for Paid Services and deducted as costs required to execute quantum resources and development environments
Article 3 (Posting and Effectiveness of the Terms)
The Company shall post these Terms on the Service screen or linked screens so that Members can easily review them.
The Company may amend these Terms to the extent permitted by applicable laws, including the Act on Consumer Protection in Electronic Commerce, Etc. and the Act on the Regulation of Terms and Conditions.
If the Company amends these Terms, it shall specify the effective date and reasons for amendment and provide notice through the Service at least seven (7) days prior to the effective date (or thirty (30) days in the case of amendments unfavorable or material to Members). The amended Terms shall take effect from the date of such notice.
Article 4 (Governing Rules Outside the Terms)
Matters not specified in these Terms shall be governed by applicable laws, including the Act on Consumer Protection in Electronic Commerce, Etc., the Act on the Regulation of Terms and Conditions, and the Act on Promotion of Information and Communications Network Utilization and Information Protection, or by customary practices.
The Company may establish separate policies such as a Privacy Policy and Subscription Terms, which shall apply in preference to or in conjunction with these Terms.
Chapter 2. Service Use Agreement and Service Provision
Article 5 (Application for Use and Formation of Agreement)
A service use agreement shall be formed when an applicant agrees to these Terms, submits an application by providing required information in accordance with the Company’s membership registration form, and the Company approves such application.
Applicants must provide the following mandatory information when registering:
a. Email address (ID)
b. Password
c. Full name
Only individuals may apply for the Service. Children under the age of 14 may not apply in accordance with applicable laws.
If a child under the age of 14 is found to have used the Service or provided personal information, the Company may immediately suspend the Service and terminate the agreement without liability.
Applicants must provide accurate personal information. If false information or another person’s information is used, the Company may terminate the agreement, and all related legal responsibility shall lie with the applicant.
Article 6 (Approval and Rejection of Application)
The Company shall approve applications accurately completed in accordance with Article 5 unless there is a justifiable reason not to do so.
The Company may reject or terminate a service use agreement in the following cases:
a. Identity theft or impersonation
b. Submission of false information or omission of mandatory information
c. Use for unlawful or commercial purposes
d. Attempts to circumvent restrictions after withdrawal
e. Outstanding unpaid fees or prior unlawful conduct
f. Violation of applicable laws or Company policies
Article 7 (Member Information Management and Modification)
ID and Password Management
a. Members are solely responsible for managing their ID and password and must not allow third-party use
b. Members must immediately notify the Company if unauthorized use is discovered
c. Members bear full responsibility for damages resulting from failure to comply
Modification of Member Information
a. Members must promptly update any changes to their registered information
b. The Company shall not be liable for disadvantages arising from failure to update information
Article 8 (Modification and Suspension of Services)
The Company may modify all or part of the Service as necessary for operational or technical reasons.
The Company may suspend or discontinue the Service in whole or in part in the following cases:
a. Maintenance, replacement, or failure of IT systems
b. Force majeure events, excessive traffic, or infrastructure failures
c. Business decisions requiring service discontinuation
Members shall be notified in advance, unless prior notice is impracticable or urgent.
Chapter 3. Use of the Service
Article 9 (Service Availability and Limitations)
The Service shall generally be available 24 hours a day, year-round.
The Company may temporarily restrict or suspend the Service for maintenance, calibration of quantum resources, system failures, or force majeure events, with notice where feasible.
Article 10 (Principles of Credit Use)
Members may use Credits to access quantum resources and development environments as prescribed by the Company.
Credits shall be deducted according to usage standards disclosed within the Service.
Credits may only be used for legitimate Service purposes, and fraudulent acquisition or use is prohibited.
Chapter 4. Obligations and Responsibilities
Article 11 (Obligations of the Company)
The Company shall comply with applicable laws and endeavor to provide stable services.
The Company shall implement security systems to protect personal information in accordance with applicable laws.
The Company shall address legitimate complaints and notify Members of outcomes.
Article 12 (Obligations of Members)
Members must comply with these Terms, Service guidelines, and applicable laws.
Members shall not engage in prohibited acts, including but not limited to identity theft, service disruption, unauthorized commercial use, intellectual property infringement, or distribution of unlawful content.
Article 13 (Rights and Responsibilities Regarding Posts)
Copyright in posts belongs to the Member who created them.
The Company is granted a non-exclusive, perpetual license to use posts for operation, display, promotion, and improvement of the Service.
Members bear full responsibility for posts that violate laws or third-party rights.
Article 14 (Use of Work Results and Data)
All rights to work products created by Members remain with the Member.
The Company is granted a non-exclusive, perpetual license to access and use such work products solely for service provision, maintenance, and improvement purposes.
The Company shall not use such work products commercially or externally beyond this scope.
Article 15 (Deletion of Posts and Restrictions)
The Company may delete or restrict access to posts without prior notice if they violate laws or these Terms.
The Company shall notify Members of deletions unless urgent circumstances prevent notice.
Chapter 5. Special Provisions on Credit Use
Article 16 (Application and Composition of the Terms)
This Chapter sets forth matters applicable to the use of Credit products (recharge-type) provided by the Company.
Any matters not specified in this Chapter shall be governed by the provisions of the preceding Terms of Service.
Guidelines separately established by the Company in relation to the use of Credits, such as the “Credit Usage Guide” and “Operational Policies,” may form a part of these Terms.
Article 17 (Details and Payment of Credit Products)
Among the paid products available to Members, Credit products refer to products that allow Members to purchase and recharge Credits separately, which are required for executing quantum resources and other services within the Service.
Before applying for the use of Credit products, Members must accurately review the fees, payment conditions, and other detailed information displayed within the Service.
Payment for paid products shall be made through methods designated by the Company (such as credit cards, bank transfers, etc.), and Members are obligated to provide accurate payment information as required by the Company.
Article 18 (Validity Period and Expiration of Credits)
Validity Period of Free Credits (Trial Credits)
Trial Credits provided free of charge to Members are valid for 30 days from the date of registration. Any unused Credits within the validity period shall automatically expire.
Validity Period of Subscription-Provided Credits
Base Credits provided and renewed monthly under a subscription plan are valid only for the month in which they are granted. Such Credits shall not be carried over to the following month nor refunded, and will expire.
Validity Period and Expiration of Recharge-Type Credit Products
Credits purchased by Members for a fee shall be valid for five (5) years from the date of purchase, and any remaining Credits shall expire upon the expiration of the validity period.
Article 19 (Withdrawal of Subscription)
Members may withdraw their subscription within seven (7) days from the date of purchase of a Credit product.
However, withdrawal may be restricted if the Credits have been used immediately after purchase or if the withdrawal falls under limitations prescribed by the Act on Consumer Protection in Electronic Commerce, Etc. or other applicable laws.
Article 20 (Refund of Remaining Credit Balance)
Even after the withdrawal period of seven (7) days has elapsed, Members may request a refund of the unused balance of purchased Credit products.
The refund amount shall be calculated as the remaining balance after deducting the value of Credits already used from the actual amount paid by the Member, with no additional fees deducted.
Trial Credits provided free of charge are not eligible for refunds.
Refunds for Credits provided under subscription plans shall be governed by the provisions of the separately established “Subscription Terms of Service.”
Article 21 (Refund of Overpayments)
In the event of an overpayment (an amount paid in excess due to an error), the Company shall refund the full amount of the overpayment upon the request of the paying Member or at the Company’s discretion.
Any fees required for the refund shall, in principle, be borne by the Company if the overpayment is attributable to the Company. If the overpayment is attributable to the Member, such fees shall be borne by the Member.
Chapter 6. Special Provisions on Subscription Products
Article 22 (Application of Subscription Terms)
Subscription products shall be governed by these Terms and separate Subscription Terms regarding pricing, automatic payments, cancellation, and refunds.
Chapter 7. Termination and Restrictions
Article 23 (Member Withdrawal)
Members may terminate their agreement at any time. Remaining Credits may be refunded pursuant to Article 20.
Article 24 (Termination by the Company)
The Company may suspend or terminate Service access for violations of these Terms.
Chapter 8. Damages and Miscellaneous
Article 25 (Compensation for Damages)
Liability shall be limited to ordinary damages, except in cases of willful misconduct or gross negligence.
Article 26 (Disclaimer)
The Company disclaims liability for force majeure, user negligence, data loss, and technical limitations inherent in quantum computing environments.
Article 27 (Dispute Resolution and Jurisdiction)
Any litigation arising from these Terms shall be subject to the exclusive jurisdiction of the court at the Company’s principal place of business.
